By accessing this website we assume you accept these terms and conditions. Do not continue to use Empower Digital Solutions if you do not agree to take all of the terms and conditions stated on this page.
2. Intellectual Property Rights
Other than the content you own, under these Terms, Empower Digital Solutions and/or its licensors own all the intellectual property rights and materials contained in this Website.
3. Restrictions
You are specifically restricted from all of the following:
- publishing any Website material in any other media;
- selling, sublicensing and/or otherwise commercializing any Website material;
- publicly performing and/or showing any Website material;
- using this Website in any way that is or may be damaging to this Website;
- using this Website in any way that impacts user access to this Website;
4. Limitation of Liability
In no event shall Empower Digital Solutions, nor any of its officers, directors and employees, be held liable for anything arising out of or in any way connected with your use of this Website whether such liability is under contract. Empower Digital Solutions, including its officers, directors and employees shall not be held liable for any indirect, consequential or special liability arising out of or in any way related to your use of this Website.
5. Variation of Terms
Empower Digital Solutions is permitted to revise these Terms at any time as it sees fit, and by using this Website you are expected to review these Terms on a regular basis.
6. Time & Materials (Hourly) Work
6.1 Estimates are not Quotes: Any indication of time or cost provided for hourly work is an estimate only based on the information available at the time. The Client will be billed for the actual time spent.
6.2 Minimum Charge: All ad-hoc support requests are subject to a minimum charge of 1 hour, regardless of the time taken. Thereafter, time is billed in 15-minute increments.
6.3 Scope of Billable Time: Billable time includes, but is not limited to: coding, design, bug fixing, research, deployment, meetings, and correspondence (email/phone) regarding the specific task.
6.4 Investigation: For existing websites not built by Empower Digital Solutions (e.g., legacy WordPress sites), we cannot guarantee a fix within a specific timeframe. Time spent investigating the issue is billable regardless of the outcome.
7. Fixed Price Projects (Bespoke Builds)
7.1 Scope Definition: The fixed price outlined in the Proposal covers only the specific deliverables listed in the "Scope of Work." Any feature, page, or functionality not explicitly listed in the Proposal is considered Out of Scope.
7.2 Change Orders: Any requests for additional features, design changes after approval, or functionality outside the original Scope of Work will be quoted separately. Work on these additions will not commence until the additional cost is agreed upon in writing.
7.3 Client Delays: If the project is stalled for more than 14 days due to the Client failing to provide content, feedback, or assets, Empower Digital Solutions reserves the right to invoice for all work completed to date and pause the project. A restart fee may apply to resume work.
8. Retainers & Recurring Services
8.1 Payment Terms: Recurring services (Hosting, Maintenance, Retainers) are billed monthly in advance. Payment is due on the 1st of the month.
8.2 "Use It or Lose It": For Retainer packages including dedicated development hours, these hours must be used within the calendar month. Unused hours do not roll over to the following month and cannot be exchanged for cash or credit.
8.3 Cancellation: Recurring services operate on a rolling 30-day contract. The Client must provide 30 days' written notice to cancel hosting or maintenance services.
8.4 Third-Party Costs: The monthly fee covers Empower Digital Solutions' services only. It does not cover third-party API costs (e.g., OpenAI, Google Maps, Paid Plugins) unless explicitly stated.
9. Client Portal Usage
Clients provided with access to the Empower Digital Solutions Client Portal are responsible for maintaining the confidentiality of their login credentials. You agree to notify us immediately of any unauthorized use of your account.
Files and data shared via the portal are for project purposes only. While we take every measure to secure your data, we cannot guarantee absolute security against unauthorized third-party access.
10. Governing Law & Jurisdiction
These Terms will be governed by and interpreted in accordance with the laws of the United Kingdom, and you submit to the non-exclusive jurisdiction of the state and federal courts located in the UK for the resolution of any disputes.
